Notice of Book Closure under Section 154 of the Companies Act 1956

In case of Listed Company :

Final Dividend : - Notice of Book Closure is usually given with the Notice of Annual General Meeting by a newspaper publication, the format of which can be as follows:


NOTICE OF BOOK CLOSURE


Notice is hereby given that __th Annual General Meeting of the Members of the Company will be held on (day), date-month-year at (time) at the Registered Office of the Company at (Address) to transact the business(es) as per the notice of the meeting already despatched on (day), date-month-year to the Shareholders separately.


Notice is also hereby given pursuant to Section 154 of the Companies Act, 1956 and Clause 16 of the Listing Agreement, that the Register of Members and Share Transfer Books of the Company will remain closed from date-month-year (day) to date-month-year (day) (both days inclusive) to determine the Members entitled to receive the Final Dividend for the financial year 2011-12. The Final Dividend at Rs. ___ (__%) per equity share of Rs. __/- each as recommended by the Board of Directors of the Company at its meeting held on date-month-year (day). The dividend, subject to the approval of the Shareholders, will be paid to those Members whose names will appear on the Register of Members of the Company as on date-month-year (day). In respect of dematerialised shares, the dividend will be payable to the 'Beneficial Owners' of the shares, whose name appear in the Statement of Beneficial Ownership, as at the close of  the business hours on date-month-year (day), furnished by NSDL& CDSL.

NOTICE OF BOOK CLOSURE


Notice is also hereby given pursuant to Section 154 of the Companies Act, 1956 and Clause 16 of the Listing Agreement, that the Register of Members and Share Transfer Books of the Company will remain closed from date-month-year (day) to date-month-year (day) (both days inclusive) to determine the Members entitled to receive the Interim Dividend for the half/ __ Quarter ending of financial year 2011-12. The Board of Directors of the Company at its meeting held on date-month-year (day) has declared the Interim Dividend at Rs. ___ (__%) per equity share of Rs. __/-. The dividend, subject to the approval of the Shareholders, will be paid to those Members whose names will appear on the Register of Members of the Company as on date-month-year (day). In respect of dematerialised shares, the dividend will be payable to the 'Beneficial Owners' of the shares, whose name appear in the Statement of Beneficial Ownership, as at the close of  the business hours on date-month-year (day), furnished by NSDL & CDSL.

Notice of Book Closure comes in the Notes to the Notice of Annual General Meeting, the format of which can be as follows:


(a) The Register of Members and Share Transfer Books of the Company shall remain closed from date-month-year (day) to Tuesday date-month-year (day), both days inclusive, for the purpose of Annual General Meeting.


(b) In respect of dematerialised shares, the dividend will be payable to the 'Beneficial Owners' of the shares, whose name appear in the Statement of Beneficial Ownership, as at the close of  the business hours on date-month-year (day), furnished by NSDL & CDSL.
