Board Resolution authorising to destroy Books of Accounts

The Board of Directors of a Company may at their meeting authorise any officer of the Company for destroying the Books of Accounts of the Company.

The Resolution format is as follows:

"RESOLVED THAT the Books of accounts for the Financial Year ___ to Financial Year ___, be destroyed under the Supervision of Mr. X YZ, Director and Mr. A BC, Company Secretary, who shall be responsible for making necessary entries in the Register required to be maintained under the Companies (Preservation and Disposal of Records) Rules, 1966 and do such other acts, deeds, things as may be necessary to give effect to this resolution."
